These Terms of Service ("Terms") govern your use of the website and the digital marketing services provided by Webcraft Solutions LLC ("Webcraft," "we," "us," or "our"), located in Homestead, Florida. 01 Acceptance of terms
By using our website or retaining Webcraft for any service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the website or our services.
02 Our services
Webcraft provides digital marketing services that may include landing page creation, website hosting, Google Business Profile optimization, local SEO, citation building, content, and social media optimization. The specific services for each client are defined in a written proposal or statement of work ("SOW").
03 Proposals & engagement
A client engagement begins when both parties agree to an SOW or proposal. Each SOW describes the scope, deliverables, timeline, and fees for that engagement. Where these Terms and an SOW conflict, the SOW controls for that engagement.
04 Client responsibilities
- Provide accurate, lawful business information and any materials, access, or approvals we reasonably need to perform the services.
- Respond to requests for feedback and approvals in a timely manner so we can meet agreed timelines.
- Maintain ownership of, and authority over, the accounts and assets you ask us to manage (such as Google, Meta, and hosting accounts).
- Ensure that content you provide does not infringe third-party rights or violate applicable laws.
05 Fees & payment
Fees, billing frequency, and payment terms are set out in your SOW. One-time setup fees and recurring monthly retainers, where applicable, are described there. Unless otherwise stated, recurring services renew month-to-month and invoices are due on receipt. Late or missed payments may result in suspension of services.
06 Intellectual property
Upon full payment, ownership of final, client-specific deliverables (such as your landing page content and creative produced for you) transfers to you, except for any third-party assets, licensed materials, or Webcraft's own pre-existing tools, templates, and know-how, which remain our property. We may reference completed work in our portfolio unless you request otherwise in writing.
07 Third-party platforms
Our services rely on third-party platforms (for example, Google, Meta, hosting and analytics providers). Your use of those platforms is subject to their terms and policies. We are not responsible for changes, outages, ranking algorithm updates, or account actions taken by those third parties.
08 No guarantee of results
Digital marketing outcomes depend on many factors outside our control, including search engine algorithms, competition, market conditions, and your own business operations. Webcraft does not guarantee specific rankings, traffic, leads, revenue, or other results. We commit to providing services professionally and in good faith.
09 Limitation of liability
To the fullest extent permitted by law, Webcraft shall not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue, arising out of or relating to the services. Our total liability for any claim shall not exceed the amount you paid to us for the services giving rise to the claim during the three (3) months preceding the claim.
10 Termination
Either party may terminate an engagement as described in the applicable SOW, or with reasonable written notice where the SOW is silent. Upon termination, you remain responsible for fees for services performed through the termination date. Provisions that by their nature should survive termination (such as payment, intellectual property, and limitation of liability) will continue to apply.
11 Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising under these Terms shall be brought in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.
